Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Mills software, dashboard, Telegram channels, and related services (collectively, the "Service") provided by Goodfix LLC, a {{STATE}} limited liability company ("Goodfix," "we," "us," or "our"). By subscribing, you ("Customer," "you," or "your") agree to these Terms on behalf of yourself and the legal entity you represent.

1. Service description

Mills is a Software-as-a-Service ("SaaS") agent that helps bar owners and operators monitor inventory, POS sales, schedules, labor, and related operations. The Service is delivered through:

All payments are processed by Stripe, Inc. Goodfix does not store or handle your card data. Your continued use of the Service authorizes us to charge the payment method on file at each renewal until cancellation.

2.3 Currency & taxes

All amounts are in U.S. dollars. You are responsible for any sales, use, or value-added taxes that apply to your jurisdiction; we will add such taxes to your invoice where we are required to collect them.

If a payment fails, your subscription enters a "past_due" status. See §9 for suspension and termination rules.

3. Biweekly review meeting commitment

A core part of the monthly subscription is a 30-minute video meeting every two weeks with your bar manager and bar owner. This is how Goodfix learns from your bar and improves the Service for you.

3.1 Scheduling

The first biweekly meeting will be scheduled within 14 days of your initial setup completion. Subsequent meetings will be scheduled at a recurring time that works for both parties.

3.2 Attendance

The meeting requires the bar manager and bar owner (or their designees with operational authority) to attend. If either party cannot attend a scheduled meeting, you may reschedule it within 7 days of the original date by giving at least 24 hours' notice.

3.3 Missed meetings

Meetings that are not attended and not rescheduled within the 7-day window are forfeited; there is no refund or credit for un-attended meetings. We will continue to provide the rest of the Service.

3.4 Pause when past_due

The biweekly meeting cadence is paused while your subscription is in a past_due status. Meetings resume once the account is brought current.

"Customer Data" means the data Goodfix processes on your behalf, including POS sales, employee schedules, inventory records, vendor information, and Telegram conversations.

Goodfix targets 99% monthly uptime on a best-effort basis. No service-level credits or refunds are offered for downtime in this version of the Service. Scheduled maintenance windows will be communicated in advance where practical.

9.1 Either party with notice

Either party may terminate this Agreement, with or without cause, by giving the other party at least 30 days' written notice. Notice may be sent by email to the other party's billing contact on file.

9.2 Suspension for non-payment

If your subscription remains in past_due status for more than 14 days, Goodfix may suspend access to the Service (read-only mode in the dashboard, Telegram bot disabled for write actions).

9.3 Termination for non-payment

If your subscription remains past_due for more than 30 days, Goodfix may terminate this Agreement and delete your Customer Data per §5.

10. Confidentiality

Each party will treat the other's non-public business information as confidential and will not disclose it to third parties except: (a) to processors strictly necessary to operate the Service (Stripe for payments, Supabase for hosted database, the underlying AI inference providers, and Telegram for messaging); (b) as required by law; or (c) with the other party's prior written consent.

These Terms are governed by the laws of the State of {{STATE}}, without regard to its conflict-of-laws principles.

12. Disputes — binding arbitration; class-action waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration conducted in {{STATE}}, administered under the Commercial Arbitration Rules of the American Arbitration Association, by a single arbitrator selected in accordance with those rules.

You and Goodfix each waive any right to participate in a class action, class arbitration, or representative proceeding. All claims must be brought in the parties' individual capacity.
